Commercial Lease Agreement Form
When I was a 1L at Florida State University College of Law I landed a job working at a major construction law firm in Tallahassee, Florida. (A 1L is a law student either in or just completing his first year of law school). For the first three months I spent most of my time researching different laws and ghost writing pleadings, memoradums and legal briefs. About three months into the job, one of the partners approached me with a much bigger assignment. I will never forget his cunning use of flattery in building up my confidence and have since used it on a number of law clerks working for me.
The partner said he had paid close attention to my work during the preceding three months and was incredibly pleased with it. He said he had never hired a 1L who had impressed him more than I had and that I was now ready for a meatier assignment. The compliment was later diminished when I discovered that I was the only 1L he had ever hired. I guess all of the 2L's were taken that semester.
The Meatier Assignment
The meatier assignment he referred to dealt with revising a Commercial Lease Agreement legal form for our largest commercial real estate client. The client owned multi-million dollar properties throughout the south and had grown displeased with its standard Lease Agreement. I was told that I was to start from scratch in constructing a new Commercial Lease Agreement. I know that at some point almost every law clerk goes through this type of experience. The task seemed overwhelming at first.
Starting from scratch meant I had to find every provision I possibly could to include in the new Lease Agreement. I began with the law books at Florida State. After hours and hours of scouring those provisions I asked Professor David Powell for additional ideas on what I needed to included in the Lease. Professor Powell is a renowned Property Law professor who teaches at FSU.
After more than a month of research and reviewing hundreds of commercial leases I had compiled a forty five page lease full of every provision imaginable. Provisions for eminent Domain, Subordination of Mortgages, Bankruptcy, Indemnification, even Radon Gas were included in the lease. I brought the lease to the partner expecting a big pat on the back and possibly a raise. Neither came.
Instead, the partner scanned through the lease, handed it back to me and said "Great, now condense it down to ten pages." At a time like that I felt it was a real shame societal norms didn't allow me to mash his face in and still keep my job. If he could have heard what I was thinking I would have been thrown out of the firm and told never to come back. But he couldn't, and I left his office determined to return with the ten page lease as he instructed.
The Final Product
After many more trips to the partner's office and many more revisions we finally ended up with a 15 page Commercial Lease Agreement that fit our client's needs. The process was long and arduous and I learned much of what I now know about writing during the experience. As it turned out, the partner had done me a huge service in requiring me to start from scratch; and he knew it. I later learned that he had experienced a similar start to practicing law from his mentor. I now view the partner as a mentor and someone I greatly respect.
